1. Acceptance of Terms

By accessing and using the Purposive.app service ("Service"), you accept and agree to be bound by these Terms & Conditions ("Terms"). If you do not agree to these Terms, please do not use our Service.

These Terms apply to all visitors, users, and others who access or use the Service, including individuals who use the Service on behalf of organizations.

2. Description of Service

Purposive.app provides a comprehensive OKR (Objectives and Key Results) management platform that enables organizations to:

  • Define and track organizational objectives and key results
  • Align team and individual goals with organizational strategy
  • Monitor progress through regular check-ins and updates
  • Utilize AI-powered suggestions for objective and key result creation
  • Generate analytics and reports on OKR performance
  • Collaborate across teams and departments

The Service includes web-based applications, mobile applications, APIs, and related services provided by Purposive.app.

3. Account Registration

To use certain features of the Service, you must register for an account. You agree to:

  • Provide accurate, current, and complete information during registration
  • Maintain and promptly update your account information
  • Maintain the security and confidentiality of your account credentials
  • Accept responsibility for all activities that occur under your account
  • Immediately notify us of any unauthorized use of your account

4. Subscription and Payment

4.1 Subscription Plans

Purposive.app offers various subscription plans with different features and user limits. Details of current plans are available on our pricing page. By selecting a subscription plan, you agree to pay the associated fees.

4.2 Billing

Subscription fees are billed in advance on a monthly or annual basis. We use third-party payment processors to handle billing securely. You authorize us to charge your payment method for all fees associated with your subscription.

4.3 Automatic Renewal

Your subscription will automatically renew at the end of each billing period unless you cancel it before the renewal date. Renewal will be at the then-current subscription rate.

4.4 Cancellation and Refunds

You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of the current billing period. We do not provide refunds for partial billing periods, except where required by law.

5. Acceptable Use

You agree not to use the Service to:

  • Violate any applicable laws or regulations
  • Infringe upon the rights of others
  • Transmit any harmful, offensive, or illegal content
  • Interfere with or disrupt the Service or servers
  • Attempt to gain unauthorized access to any part of the Service
  • Use the Service for any fraudulent or deceptive purpose
  • Reverse engineer or attempt to extract the source code of the Service
  • Use automated systems or software to extract data from the Service
  • Resell or redistribute the Service without our express written permission

6. Intellectual Property

You retain ownership of any content you submit, post, or display on or through the Service ("Your Content"). By submitting Your Content, you grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, and distribute Your Content solely for the purpose of providing the Service to you.

6.3 AI-Generated Content

Content generated by our AI features based on your inputs remains your property. However, similar outputs may be generated for other users with similar inputs. We do not guarantee uniqueness or exclusivity of AI-generated content.

7. Privacy and Data Protection

Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, and protect your personal information. By using the Service, you consent to our collection and use of information as described in the Privacy Policy.

We implement appropriate technical and organizational measures to protect your data against unauthorized access, alteration, disclosure, or destruction.

8. Disclaimers

8.1 Service Availability

The Service is provided "as is" and "as available" without warranties of any kind, either express or implied. We do not guarantee that the Service will be uninterrupted, secure, or error-free.

8.2 AI Features

AI-powered features are provided for assistance and suggestion purposes only. AI-generated content may contain errors or inaccuracies. You are responsible for reviewing and verifying any AI-generated content before use.

8.3 Third-Party Services

The Service may contain links to or integrate with third-party services. We are not responsible for the content, privacy policies, or practices of any third-party services.

9. Limitation of Liability

To the maximum extent permitted by law, Purposive.app and its affiliates, officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, use, or goodwill.

Our total liability to you for any claims arising from or related to these Terms or the Service shall not exceed the amount you have paid us in the twelve months preceding the claim.

10. Indemnification

You agree to indemnify, defend, and hold harmless Purposive.app and its affiliates from any claims, losses, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from your use of the Service, violation of these Terms, or infringement of any rights of another party.

11. Termination

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which Purposive.app is incorporated, without regard to its conflict of law provisions. Any disputes arising from these Terms or the Service shall be resolved in the courts of that jurisdiction.

13. Changes to Terms

We reserve the right to modify these Terms at any time. If we make material changes, we will notify you by email or through the Service at least 30 days before the changes take effect. Your continued use of the Service after the changes take effect constitutes your acceptance of the revised Terms.

15. Miscellaneous

15.4 Assignment

You may not assign or transfer these Terms or your rights under them without our prior written consent. We may assign our rights under these Terms without your consent.
